These conditions are concluded between the company POULET INTERACTIVE, SASU with share capital of €1,000, registered with the RCS of Montauban under SIRET 999 401 292 00019, whose registered office is located at 10 rue Jean Doumerc, 82000 Montauban, France (hereafter "the publisher"), and any natural or legal person (hereafter "the user") wishing to access the LocalProse software.
These Terms of Use and Sale (hereafter "Terms") govern access, use, and license acquisition for the services provided by the publisher of the LocalProse application. They cover:
Any acquisition of a Pro license or use of the application implies unreserved acceptance of these Terms. The user confirms this acceptance by checking the box provided for this purpose at the time of creating their account or purchasing their Pro license.
Software availability: To guarantee optimal speed and high availability of installation files (which are sizable), the publisher reserves the right to use specialized third-party distribution infrastructures (CDN or release platforms). The User accepts that the download may be performed via these secure third-party servers.
The installation of the LocalProse software is free of charge. The use of the software does not require the creation of a user account for the "Free" status and for the 7-day free trial period.
The acquisition of a Pro Lifetime License requires the prior creation of a user account on the localprose.com website. This registration, made via a form integrated into the website, requires the provision of a valid email address and the definition of a password. The email address is subject to a verification procedure (sending of a validation link valid for 48 hours) to ensure it belongs to the user.
The account allows the user to:
Access to LocalProse features depends on the status under which the user uses the software, and on the platform (desktop or mobile):
An active internet connection is only required on the occasion of certain ponctual operations: initial download of the software and its updates, starting of the trial period, activation or deactivation of a Pro license on a given device. The processing of the user's content is then performed entirely locally, without a permanent connection required.
Automatic download vs manual import of local AI models: The automatic download of local AI models (language model, voice recognition model) is performed by the application from specialized third-party platforms (notably Ollama, Hugging Face). The publisher does not control the availability, durability, or terms of use of these third-party platforms.
In order to guarantee the durability of the use of the application in offline mode (see article 6.5 "Server Independence"), the application offers the user the possibility of manually importing local AI models in .gguf format (language model) or .bin format (voice recognition model) from their own file system, without resorting to the aforementioned third-party servers. This manual import is accessible from the first launch of the application (in case of network or third-party server unavailability) as well as at any time from the application settings.
User's liability for manual imports: When the user performs a manual import of an AI model, they acknowledge:
Associated limitation of liability: The publisher cannot be held responsible for any malfunction, data loss, inappropriate generated content, or infringement of third-party rights resulting from a manual import performed by the user. Models distributed automatically by the application have been subject to prior selection and validation by the publisher; manually imported models offer none of these guarantees.
Since the LocalProse software is based on a "Local First" architecture (processing of data directly on the user's device without sending to a cloud), its performance — notably the speed of text generation by the AI or the responsiveness of voice dictation — depends exclusively on the hardware power of the user's computer (CPU processor, GPU graphics card, RAM).
The publisher recommends a recent and high-performance hardware configuration for optimal use of the artificial intelligence features.
Automatic adaptation: To optimize the experience, the software performs a local detection of RAM at first launch. This operation, which does not send any data over the network, allows the automatic preconfiguration of the most suitable AI model and contextual memory for the user's machine. The user remains entirely free to manually modify these settings.
Preliminary hardware validation via the trial period: The user is expressly invited to validate the compatibility of their hardware and the quality of their experience via the 7-day free trial period before any acquisition of a Pro Lifetime License. This trial period gives access to all advanced features, thus constituting an exhaustive test of the effective performance of the software on the user's machine, including local artificial intelligence and voice dictation functions.
Consequently, the publisher cannot be held responsible for slow execution, latency, degraded experience, or execution failure related to the user's insufficient or obsolete hardware configuration. The user acknowledges that the acquisition of the Pro Lifetime License takes place in full knowledge of the facts, after having had the option to fully test the software on their hardware. No request for refund or compensation may be based on insufficient performance or impossibility of execution related to the user's hardware configuration.
The use of the software under the "Free" status is provided at no cost, without financial consideration, without account creation required, and without time limit.
The publisher offers the user, on a commercial and free basis, a 7-day trial period giving access to all the advanced features of the desktop version. This trial period constitutes a commercial offer; no paid contract is concluded between the user and the publisher on the occasion of this trial, and the publisher reserves the right to modify or withdraw this offer at any time.
The trial starts from the desktop application. No account creation, no payment method, and no banking data are required to benefit from the trial. At the end of the 7 days, the software automatically returns to the "Free" status without user intervention, and without any kind of charge.
The user can acquire a LocalProse Pro Lifetime License by means of a one-time payment, made via the localprose.com website through the secure payment provider Stripe. No renewal, no recurring debit, and no duration commitment are associated with this acquisition.
User account required for purchase: The acquisition of a Pro Lifetime License requires the user to be previously signed in to their account on localprose.com (see §2.1). The purchase is then automatically attached to this account, and the Pro license key as well as the billing history become immediately accessible in the user's secure personal account.
Pricing: The prices in force are displayed on the localprose.com website at the time of purchase. The price applicable to your order is the one displayed at the time of finalizing the payment, which includes VAT according to your country of residence, automatically calculated by our Stripe provider. The publisher reserves the right to modify its prices for future orders.
Pro license delivery: After payment confirmation, the user receives by email a personal Pro license key in the format LP-XXXX-XXXX-XXXX-XXXX-XXXX at the email address of their account. This key constitutes proof of acquisition of the Pro license and allows activation of the software on the user's devices, within the limits defined in article 6. The key is also displayed to the user on the post-payment thank-you page and permanently available in their personal account.
Payment incident: In case of failure or rejection of the payment by the banking provider, no Pro license is issued and the user is informed by email. No fee is charged to the user in this case.
The 7-day trial offer is strictly limited to one (1) use per computer terminal (computer or mobile device).
In order to enforce this limitation and to prevent abuse (repeated use of the trial offer on the same terminal to circumvent the evaluation duration), the user accepts that the LocalProse application collects and processes a unique technical identifier derived from their hardware (Hardware ID / Digital fingerprint).
This identifier is hashed (anonymized) and used exclusively to check the terminal's eligibility for a new trial period. The publisher reserves the right to refuse the activation of the trial if it detects that a terminal has already benefited from this offer.
The user's secure personal area (accessible by email identifier and password) constitutes the main channel for managing the Pro license. Most common incidents are resolved in self-service from the dashboard:
Specific cases of simultaneous loss of email access and password, or of proven account compromise requiring immediate blocking, are handled by support at Support. The user will need to provide identification elements allowing to verify their quality as the holder of the Pro license:
After verification of the consistency of these elements with the Stripe records, the publisher will reset the user's account access to a new confirmed email address. A key reissue procedure may also be implemented in case of proven compromise, with revocation of the old key.
Effect of revocation: The revocation of a key takes effect immediately and prevents any new device activation or reactivation. The regime applicable in case of fraudulent use and the associated right of revocation are defined in article 6.6.
The Pro Lifetime License acquired by the user confers a right to use the software permanently and without time limit, subject to compliance with these Terms and within the limits defined in article 6 below.
No action by the user is required to keep their Pro license active: there is no renewal to confirm, no recurring payment to validate, and no cancellation to perform. The Pro license remains usable even if the publisher ceases its service activity, in accordance with the provisions of article 6.5 (server independence).
Deactivation and reactivation of devices: The user can, at any time and autonomously from their personal area or from the application, deactivate their Pro license on a given device in order to free up an activation slot, and reactivate it on another device within the limits defined in article 6.1.
Revocation of the Pro license by the publisher: The publisher reserves the right to revoke a Pro license only in the following cases: proven fraud (fraudulent payment, abusive chargeback dispute), serious violation of these Terms (reverse engineering, circumvention of technical limitations, unauthorized resale), recovery procedure initiated by the user (see §3.5), or court decision. Any revocation is the subject of a motivated notification to the user's email address.
The user can at any time permanently delete their user account on localprose.com, by exercising their right to erasure (art. 17 GDPR). The deletion procedure is self-service from the secure personal area.
Consequences of account deletion on the Pro Lifetime License:
At the time of the deletion request, the user is invited to:
A final summary email is sent to the user's email address before anonymization, containing their Pro license key, the list of their activations, and the original Stripe transaction number, for retention purposes by the user.
If, at a later date, the user wishes to regain access to the management features of their Pro license (for example to activate a new device or deactivate an old inaccessible device), they can create a new account on localprose.com and contact support at Support by providing:
LP-XXXX-XXXX-XXXX-XXXX-XXXX).After verification of the consistency of the elements provided with the Stripe records, the publisher will proceed to attach the existing Pro license to the user's new account. This manual procedure is handled within a reasonable timeframe.
In accordance with article L221-28, 13° of the French Consumer Code, the right of withdrawal cannot be exercised for contracts for the supply of digital content not provided on a tangible medium, the performance of which has begun after the consumer's express prior agreement and express waiver of their right of withdrawal.
The LocalProse Pro Lifetime License being a digital content delivered in dematerialized form (Pro license key transmitted by email, displayed in the personal account, and allowing immediate activation of the software), its execution begins upon confirmation of payment.
Consequently, when finalizing their purchase on the Stripe payment platform, the consumer user must mandatorily check two separate boxes, namely:
Failure to check either of these boxes prevents the payment from being finalized.
The user acknowledges having had, prior to their purchase, the 7-day free trial period mentioned in article 3.2, allowing them to fully test the software and validate its hardware compatibility, which makes their consent to waive the right of withdrawal fully informed.
Subject to full payment of the price, the publisher grants the user a license to use the LocalProse software with the following characteristics: personal, non-exclusive, non-transferable, non-assignable (including by way of succession), worldwide and perpetual.
A Pro Lifetime License allows the user to activate the software on a limited number of devices, simultaneously:
The user can, from their personal area, deactivate at any time one of their devices to activate another, in compliance with these quotas. On the desktop version, surplus computers (beyond the 2 slots) automatically switch to the "Free" status and continue to operate with a restricted functional scope, without additional cost or blocking of the software.
The LocalProse mobile application (iOS, Android) is a companion extension of the desktop software. It can only be used in addition to a Pro license acquired for the desktop version. The mobile application does not offer the possibility to acquire a Pro license — this must be obtained beforehand via the localprose.com website.
Whatever the user's status (Free, Trial, Pro Lifetime License), it is strictly forbidden to engage in any form of reverse engineering, to circumvent the technical limitations of the Free version, to resell or sublicense the software, to copy or redistribute the Pro license key to third parties, or to engage in any unauthorized collective commercial use (simultaneous use by several people in an organization beyond the quotas defined in article 6.1).
In accordance with articles L.224-25-12 and following of the French Consumer Code (transposing EU Directive 2019/770 on digital content and services), the publisher provides the user with the updates necessary to maintain the conformity of the software as well as essential security updates, for the duration the consumer can reasonably expect with regard to the type and purpose of the digital content supplied, as well as the factual circumstances and the nature of the contract.
Evolutionary updates: the addition of new features is not subject to any contractual warranty. The user acknowledges that the version of the software acquired is usable permanently in its state on the day of purchase, regardless of future evolutions.
Technical maintenance: The user accepts that the publisher may, during critical security updates, temporarily condition the continued use of the software on the installation of the latest available version. This temporary unavailability cannot give rise to any compensation.
In order to guarantee the sustainability of the use of the Pro license independently of the future availability of the publisher's servers, the LocalProse Pro Lifetime License is delivered in the form of a signed cryptographic certificate, stored locally on the user's device after initial activation.
Once the Pro license is activated, the software can verify the validity of the Pro license locally, without connection to the publisher's servers. Consequently, the Pro license remains fully usable even in case of cessation of the publisher's activity, server shutdown, prolonged unavailability of the online service, or deletion of the user account by its holder.
The user additionally has the possibility, from installation and at any time via the application settings, of manually importing local AI models (see article 2.3), which guarantees the durability of the use of the application even in case of total unavailability of third-party model distribution servers.
This server independence is designed to guarantee the durability of use to good-faith users. It cannot in any case be interpreted as an authorization, a tolerance, or a renunciation by the publisher to assert its rights in case of use not compliant with these Terms, and notably in case of fraudulent use within the meaning of article 6.6.
The promise of server independence defined in article 6.5 necessarily implies a margin of trust granted to the user about the use they make of their Pro license. This section specifies the behaviors considered as fraudulent use as well as the remedies available to the publisher in case of proven abuse, while respecting the user's rights.
The publisher considers as fraudulent use any deliberate behavior aimed at circumventing the technical limitations of the Pro license as defined in article 6.1, notably:
The simple fact for a user of occasionally changing devices as part of normal use (hardware renewal, breakdown, configuration alternating between several personal computers) does not constitute fraudulent use, as long as it falls within the limits of article 6.1.
The publisher performs technical monitoring of Pro licenses for the exclusive purpose of detecting fraudulent use. This monitoring relies on anonymized technical indicators related to Pro license activations and does not give rise to any profiling or tracking of the content written by the user, in accordance with the Privacy Policy.
In case of suspicion of fraudulent use, the publisher will proceed in the following order:
The revocation of a Pro license prevents any new device activation or reactivation and constitutes the sanction for non-compliance with these Terms. A user whose Pro license has been revoked loses the contractual right to use it on all of their devices, regardless of the technical situation of those devices. Any continued use of the software in Pro mode after notification of revocation constitutes a violation of these Terms exposing its author to the applicable civil and criminal sanctions.
The user whose Pro license would have been wrongly revoked has a period of thirty (30) days from the notification of revocation to send a motivated appeal to the publisher at Support. The publisher undertakes to examine this appeal within a reasonable period (within fifteen (15) working days) and to restore the Pro license if the elements provided justify it.
In case of revocation for fraudulent use duly established at the end of the procedure described in article 6.6.3, no refund of the Pro license can be claimed by the user, the deliberate circumvention of the terms of this Pro license constituting a breach of contractual conditions attributable to the user themselves.
One of the fundamental values of LocalProse is the writer's sovereignty over their texts.
The application is provided without any warranty other than those provided by law (legal warranty of conformity, warranty of hidden defects). The publisher undertakes to provide its services with diligence and according to industry standards (best-efforts obligation).
The publisher attaches great importance to confidentiality.

The publisher reserves the right to modify these conditions at any time to adapt them to legislative, regulatory, or technical developments of the service. Modifications do not have retroactive effect: the version of the Terms applicable to a given Pro license is the one in force on the date of acquisition of this Pro license, subject to the provisions below.
Notification: In case of substantial modification of these conditions having an impact on the rights or obligations of users who have already acquired a Pro license, the latter will be informed by email at the address of their account. The user will then have a reasonable period to acknowledge the modifications.
Tacit acceptance: In case of disagreement with the modifications, the user retains full enjoyment of their Pro license according to the conditions in force on the date of its acquisition. Continued use of the software after receipt of the notification constitutes acceptance of the new conditions for the future.
These Terms are subject to French law.
In case of dispute between the user and the publisher, they will endeavor to resolve it amicably (the user will send a written complaint to the publisher or, where applicable, to the publisher's Customer Relations Department at: Support).
Failing an amicable agreement or in the absence of a response from the publisher within a reasonable period of one (1) month, the consumer user within the meaning of article L.612-2 of the French Consumer Code has the possibility to seize free of charge, if a disagreement persists, the competent mediator registered on the list of mediators established by the Commission for the Evaluation and Control of Consumer Mediation in application of article L.615-1 of the French Consumer Code, namely:
In accordance with article 14 of Regulation (EU) No. 524/2013, the European Commission has set up an Online Dispute Resolution (ODR) platform, facilitating the independent extra-judicial settlement of online disputes between consumers and professionals in the European Union. Failing an amicable agreement, the French courts shall have sole jurisdiction.
These Terms apply to contracts entered into from [TO COMPLETE: PIVOT_DATE], the effective date of the LocalProse Pro Lifetime License model.
Users who subscribed to a subscription (monthly or yearly) before this date retain the application of the general conditions in force at the time of their subscription, until the end of their contract.
